In this document, Digital Interaction S.R.L. will be referred to as
the “Company”, “Service Provider”, or “We”, and the visitor or
client as the “User” or “Client”.
2. NATURE OF THE SERVICES – B2B ONLY
This website and the services presented are intended
exclusively for legal entities and professionals, operating under a
Business-to-Business (B2B) model.
The services include, but are not limited to:
• digital infrastructure and marketing audits;
• conversion rate optimization (CRO) consulting;
• strategic marketing and funnel analysis;
• evaluation of acquisition, retention, and monetization
systems;
• educational materials and internal documentation.
The Company does not provide services to individual consumers and is
not subject to consumer protection legislation applicable to B2C
relationships.
3. FEASIBILITY ANALYSIS (AUDIT SESSION)
3.1. Nature of the session
Feasibility Analysis sessions (also referred to as
“Technical Review” or “Audit Call”):
• are preliminary and consultative in nature;
• are limited in time and scope;
• do not constitute a long-term service agreement;
• do not create any obligation to enter into a future
collaboration.
The Company does not guarantee that all business issues will be
identified during a single session.
4. RIGHT TO QUALIFY AND REFUSE SERVICE
Submitting an application form does not guarantee
acceptance.
The Company reserves the discretionary right to:
• qualify or reject applications;
• cancel or refuse sessions based on internal criteria (e.g.
business maturity, revenue level, industry fit, incomplete or
inaccurate data).
Such decisions do not require justification and do not give rise to
any liability.
5. SCHEDULING, CANCELLATION, AND NO-SHOW POLICY
Cancellations or rescheduling must be requested at least
24 hours in advance.
Failure to attend the scheduled session within 5 minutes of the
agreed time will be considered a no-show.
The Company reserves the right to refuse future bookings from Users
with repeated no-shows.
6. DIGITAL MATERIALS (PDFs, CHECKLISTS)
All downloadable materials:
• are provided for informational and educational purposes only;
• do not constitute guarantees, instructions, or mandatory
actions;
• are used entirely at the User’s own risk.
7. CONFIDENTIALITY AND KNOW-HOW (MUTUAL NDA)
7.1. Company commitment
All financial and operational data shared by the Client (e.g. revenue figures, budgets, KPIs) is treated as strictly confidential and will not be sold or disclosed to third parties.
7.2. User commitment
The audit methodology, frameworks, logical structures,
and the concept referred to as “Conversion Architecture” are the
intellectual property and proprietary know-how of the Company.
The User is not permitted to:
• distribute or disclose this information publicly;
• resell or license it;
• record sessions without prior written consent.
8. EARNINGS DISCLAIMER
Any figures, performance metrics, or case studies
presented on the website, in videos, or in downloadable
materials:
• represent real but atypical results;
• are not guarantees, promises, or forecasts.
Results depend on multiple external factors beyond the Company’s
control, including budget, market conditions, execution quality, and
internal operations.
The Company does not guarantee revenue, profit, or conversion
improvements.
9. LIMITATION OF LIABILITY AND THIRD-PARTY PLATFORMS
9.1. Third-party platforms
The Company is not responsible for:
• advertising account suspensions by Meta, Google, TikTok, or other
platforms;
• changes in algorithms, policies, or tracking limitations;
• technical failures of third-party platforms.
9.2. Business decisions
The Client remains solely responsible for:
• business decisions made based on the information provided;
• legal and regulatory compliance specific to their industry
(including medical advertising rules).
10. LIMITED LICENSE OF USE
The User is granted a limited, non-exclusive,
non-transferable license to use the materials and services for
internal business purposes only.
Any reproduction, resale, distribution, or commercial exploitation
without written consent is strictly prohibited.
11. INDEMNIFICATION
The User agrees to indemnify and hold the Company
harmless from any claims, losses, damages, or legal costs arising
from:
• violation of these Terms;
• improper use of the services or materials;
• breach of applicable laws or regulations.
12. FORCE MAJEURE
The Company shall not be held liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to technical outages, third-party service failures, natural disasters, or governmental actions.
13. PERSONAL DATA PROCESSING (GDPR)
Personal data is processed in accordance with applicable data protection laws. Full details are available in the Privacy Policy and Cookie Policy published on the website.
14. GOVERNING LAW AND JURISDICTION
These Terms and Conditions are governed by Romanian
law.
Any disputes shall be resolved amicably where possible. If not, they
shall fall under the exclusive jurisdiction of the competent courts
at the Service Provider’s registered office.
15. AMENDMENTS
The Company reserves the right to modify these Terms and Conditions at any time. Continued use of the website constitutes acceptance of the updated version.
